3. Description of Services

YTY Truck provides professional computer systems design and related services, including but not limited to fleet management software development, GPS tracking system integration, predictive analytics solutions, cloud infrastructure design, cybersecurity consulting, and enterprise system integration. The specific scope, deliverables, and terms of any service engagement will be defined in a separate written agreement or statement of work between Yty Trucking Inc. and the client.

4. User Responsibilities

4.1 Accurate Information

When you submit information through our website or enter into a service agreement with us, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of any information you provide and for promptly updating it if changes occur.

4.2 Lawful Use

The name YTY Truck, the YT logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Yty Trucking Inc. or its affiliates. 5.4 Client Deliverables

Unless otherwise agreed in a written statement of work, upon full payment for services rendered, Yty Trucking Inc. assigns to the client ownership of custom software code and documentation developed specifically for that client under the service agreement. The Company retains ownership of all pre-existing tools, libraries, frameworks, methodologies, and intellectual property used in the development process.

6. Confidentiality

During the course of our engagement, each party may disclose to the other certain confidential information. The receiving party agrees to hold all confidential information in strict confidence, to use such information solely for the purpose of performing obligations under the applicable service agreement, and not to disclose such information to any third party without the disclosing party's prior written consent, except as required by law.

Confidential information does not include information that is publicly known through no breach of these terms, was rightfully in the receiving party's possession prior to disclosure, is independently developed without reference to the confidential information, or is rightfully obtained from a third party without restriction.

7. Payment Terms

For any paid services, payment terms including fees, invoicing schedules, and payment methods will be specified in the applicable statement of work or service agreement. All fees are quoted and payable in Canadian dollars unless otherwise stated. Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

You are responsible for all applicable taxes, including but not limited to Goods and Services Tax and Harmonized Sales Tax, associated with the services provided. Yty Trucking Inc. reserves the right to suspend or terminate services if payment is not received within the agreed timeframe.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Yty Trucking Inc., its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the website or services.
• Any unauthorized access to or alteration of your transmissions or data.
• Any conduct or content of any third party on or through the website or services.
• Any errors, omissions, or inaccuracies in any content provided.

In no event shall the total aggregate liability of Yty Trucking Inc. for any claims arising out of or relating to these terms or the services exceed the amount paid by you to the Company for the specific service giving rise to the claim during the twelve months preceding the event giving rise to the liability.

9. Disclaimer of Warranties

The website and services are provided on an as is and as available basis. Yty Trucking Inc. makes no representations or warranties of any kind, express or implied, regarding the operation of the website, the accuracy or completeness of the content, or the availability of the services. Upon termination, your right to use the website and services will immediately cease. You may terminate your relationship with us at any time by discontinuing use of the website and notifying us of your desire to terminate any active service agreements.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of New Brunswick, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the courts of New Brunswick.

12.2 Informal Resolution

Before initiating any formal legal action, you agree to first contact us at contact@ytytruck.autos and attempt to resolve the dispute informally. Both parties agree to engage in good faith negotiations to resolve any dispute before resorting to litigation.

12.3 Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these terms or the website must be commenced within one year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

13. Third-Party Services and Links

Our website may contain links to third-party websites, services, or content that are not owned or controlled by Yty Trucking Inc. 15. Severability and Waiver

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect and enforceable. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term, and any failure to assert a right under these terms shall not constitute a waiver of such right.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable statement of work or service agreement, constitute the entire agreement between you and Yty Trucking Inc. regarding the use of the website and services, superseding any prior agreements, communications, or understandings, whether oral or written.
